Heritage Bank: Gone.

told ya a year ago. The FDIC closed Heritage Bank yesterday. The bank will reopen under the Trustmark motif. Here are my notes from a year ago about their balance sheet:

"Hmmm....... where have we heard about Heritage Banking Group before? Maybe here or here. Bankrate gave Heritage its lowest rating after examining its first quarter earnings statements. A quick examination of the balance sheet reveals several interesting items:
1. Provision for loan and lease losses was only $2.1 million
2. Net losses on real estate owned was $152,000.
3. Net income was a net loss of $1.598 million. The previous quarter it was $1.8 million loss.
4. Assets of $238 million.
5. Total liabilities were $225 million.
6. Total loans and leases: $183 million.
7. Page 31: $1.4 million in construction and land loans were 30 days past due, none at 90 but $8.949 million in these loans and another $3.8 million in closed-end residential loans were in the non-accrual column. Not good. This is probably what drew the regulators attention."

Lets compare it to now:
1. Provision for loan and net losses: $8,323 million
2. Net losses on real estate owned: $603,000
3. Net Income loss: $12.322 million
4. Assets of $224 million.
5. Total liabilities were: $221 million.
7. Total loans and leases: (Page 7) $5.193 million in charge-offs. Page 31: $259,000 in construction and land loans were 30 days past due, none at 90 but $7.215 million in the non-accrual column for residential and construction loans. There was another $4.5 million in home mortgages and $2 million in multifamily residential loans in the non-accrual column as well.

In other words, the banks financial position stayed the same compared to a year ago and the FDIC pulled the plug.

2010 4th quarter financial statements
2010 2nd quarter financial statements
2007 1st quarter earnings statements

Can you be more specific? Was it federal regulators or the tornado? I know they've been struggling under the unfair capital requirements that the Obama administration has placed on banks, but has anything official happened? BB

what happened to them? the link brings us back here to - no story. since you're not in the tornado predicting biz I assume you meant they were mismanaged and due to get closed down.....

Heritage Bank customers will be Trustmark National Bank customers when branches open Monday.

Carthage-based Heritage Banking Group was shuttered about 6 p.m. Friday and transferred to Trustmark, according to the state Department of Banking and Consumer Finance.

Heritage was closed because "it got to the point that they were insolvent and they couldn't come out," state banking commissioner John Allison said. "They had a severe amount of bad loans and no earnings."

He said Trustmark was one of several banks to consider the deal and had the best bid.

If FDIC closes a bank it will normally tell if someone has bought it, did not say last night on Heritage Bank. I follow this on Calculated Risk blog which is a finance and economic site.

How could Dr. Sethi crater a bank? Details, please.....

Trustmark Corporation Announces Acquisition of Heritage Banking Group, Carthage, Mississippi

Company Release - 04/15/2011 19:23

JACKSON, Miss.--(BUSINESS WIRE)-- Trustmark Corporation (NASDAQ:TRMK) announced that its wholly-owned subsidiary, Trustmark National Bank, has acquired the banking operations of Heritage Banking Group, Carthage, Mississippi, (“Heritage”) in a Federal Deposit Insurance Corporation (“FDIC”) assisted transaction. At December 31, 2010, Heritage Banking Group had approximately $224 million in total assets and $196 million in total deposits. Substantially all loans and other real estate acquired are covered by a loss share agreement in which the FDIC will reimburse Trustmark for 80% of the losses incurred. The assets covered by loss sharing agreements total approximately $156 million. Trustmark National Bank did not acquire any assets or liabilities of Heritage Banking Group’s parent holding company, First Heritage Corporation. Trustmark purchased Heritage for an asset discount of approximately $23 million and a deposit premium of 0.15%. The acquisition is expected to generate a modest one-time gain in the second quarter of 2011 and will be immediately accretive to Trustmark’s earnings per share and tangible book value per share.

ASSET DISCOUNT MEANS PAID TO TAKE IT.

By the way, did anyone notice how a year ago, Sethi and Ambrosino notified Madison County they were going to default on a TIF bond payment of nearly $90,000 or so that the county would have to pay if that happened and they paid it anyway. Voila, the FDIC later is issuing an order that just happens to focus on insider overdrafts, loans, and other dealings. Hmmmm...... I just wonder where that payment suddenly appeared from.

Next question and its an honest one: If FDIC had shut them down a year ago, would the taxpayers have saved money instead of paying out $50 million Friday?

King, this strictly a guess. The bank would have been very closely monitored in the past twelve months. I doubt things were allowed to get that much worse. In hindsight, there may be more accurate information available now than a year ago, but I doubt if the overall situation actually changed very much. This last year was mostly a grace period to allow the owners a chance to stablilize the business, but not to do further harm.

You are probably right.

Also, King, Dr. Sethi has been engaged in a lot of liquidity-generating activities over the last twelve months, like auctioning off real estate holdings through Nick Clark, etc. I know of three such properties and there were undoubtedly more. I have no idea how the auctions turned out but there were some pretty good locations on the block, and there might have been equity there, especially with some of the Bumpers locations.

Thanks. Thats why I'm asking. Its not like these guys will talk to you and give you the whole story. ;-)

You're half right. They'll talk to you. ;-)

Why do you not ask, and I am sure they will tell you. This was not TIF bonds it was PID taxes. If they did not pay their PID taxes then the county would not be able to pay their payment on the bond. Also find out how much they pay a year on those PID taxes and is Calhoun Station a PID and those landowners paying PID taxes. Can't to so this answer!!!

Does Sethi owe any of ya'll money like he does me?

Anonymous said...

He owes me some money, but for someone who has been in business for 40 years and started with nothing, I am not worried. I honestly feel like he got caught up in a very bad economy. He's not the only one... Trust me. Read his story on www.jackiesinternational.com. I have faith in the country & self made men like Dr. Sethi.

Does anybody know if the "Eiland Plaza" property in Louisville, MS was one of the auctioned properties?

Trollfest '09

Trollfest '07 was such a success that Jackson Jambalaya will once again host Trollfest '09. Catch this great event which will leave NE Jackson & Fondren in flames. Othor Cain and his band, The Black Power Structure headline the night while Sonjay Poontang returns for an encore performance. Former Frank Melton bodyguard Marcus Wright makes his premier appearance at Trollfest singing "I'm a Sweet Transvestite" from "The Rocky Horror Picture Show." Kamikaze will sing his new hit, “How I sold out to da Man.” Robbie Bell again performs: “Mamas, don't let your babies grow up to be Bells” and “Any friend of Ed Peters is a friend of mine”. After the show, Ms. Bell will autograph copies of her mug shot photos. In a salute to “Dancing with the Stars”, Ms. Bell and Hinds County District Attorney Robert Smith will dance the Wango Tango.

Wrestling returns, except this time it will be a Battle Royal with Othor Cain, Ben Allen, Kim Wade, Haley Fisackerly, Alan Lange, and “Big Cat” Donna Ladd all in the ring at the same time. The Battle Royal will be in a steel cage, no time limit, no referee, and the losers must leave town. Marshand Crisler will be the honorary referee (as it gives him a title without actually having to do anything).

Meet KIM Waaaaaade at the Entergy Tent. For five pesos, Kim will sell you a chance to win a deed to a crack house on Ridgeway Street stuffed in the Howard Industries pinata. Don't worry if the pinata is beaten to shreds, as Mr. Wade has Jose, Emmanuel, and Carlos, all illegal immigrants, available as replacements for the it. Upon leaving the Entergy tent, fig leaves will be available in case Entergy literally takes everything you have as part of its Trollfest ticket price adjustment charge.

Donna Ladd of The Jackson Free Press will give several classes on learning how to write. Smearing, writing without factchecking, and reporting only one side of a story will be covered. A donation to pay their taxes will be accepted and she will be signing copies of their former federal tax liens. Ms. Ladd will give a dramatic reading of her two award-winning essays (They received The Jackson Free Press "Best Of" awards.) "Why everything is always about me" and "Why I cover murders better than anyone else in Jackson".

In the spirit of helping those who are less fortunate, Trollfest '09 adopts a cause for which a portion of the proceeds and donations will be donated: Keeping Frank Melton in his home. The “Keep Frank Melton From Being Homeless” booth will sell chances for five dollars to pin the tail on the jackass. John Reeves has graciously volunteered to be the jackass for this honorable excursion into saving Frank's ass. What's an ass between two friends after all? If Mr. Reeves is unable to um, perform, Speaker Billy McCoy has also volunteered as when the word “jackass” was mentioned he immediately ran as fast as he could to sign up.

In order to help clean up the legal profession, Adam Kilgore of the Mississippi Bar will be giving away free, round-trip plane tickets to the North Pole where they keep their bar complaint forms (which are NOT available online). If you don't want to go to the North Pole, you can enjoy Brant Brantley's (of the Mississippi Commission on Judicial Performance) free guided tours of the quicksand field over by High Street where all complaints against judges disappear. If for some reason you are unable to control yourself, never fear; Judge Houston Patton will operate his jail where no lawyers are needed or allowed as you just sit there for minutes... hours.... months...years until he decides he is tired of you sitting in his jail. Do not think Judge Patton is a bad judge however as he plans to serve free Mad Dog 20/20 to all inmates.

Trollfest '09 is a pet-friendly event as well. Feel free to bring your dog with you and do not worry if your pet gets hungry, as employees of the Jackson Zoo will be on hand to provide some of their animals as food when it gets to be feeding time for your little loved one.

Relax at the Fox News Tent. Since there are only three blonde reporters in Jackson (being blonde is a requirement for working at Fox News), Megan and Kathryn from WAPT and Wendy from WLBT will be on loan to Fox. To gain admittance to the VIP section, bring either your Republican Party ID card or a Rebel Flag. Bringing both and a torn-up Obama yard sign will entitle you to free drinks served by Megan, Wendy, and Kathryn. Get your tickets now. Since this is an event for trolls, no ID is required. Just bring the hate. Bring the family, Trollfest '09 is for EVERYONE!!!

This is definitely a Beaver production.
